CONSTRUCTION MATERIALS SUPPLY AGREEMENT

In [Place: e.g. Asunción], Republic of Paraguay, on [Date: e.g. 05/08/2026], the parties appear and state that they have sufficient capacity to enter into this private instrument under the following clauses:

FIRST: PURPOSE

The parties agree to document the agreed transaction for use in Paraguay.

SECOND: SCOPE

The scope, deliverables, place, documents and limits shall be those stated in the editable fields and annexes accepted by the parties.

THIRD: PRICE AND PAYMENT

The agreed amount is [Amount: e.g. Gs. 5,000,000], payable as stated by the parties.

FOURTH: TERM

The term shall be [Term: e.g. 12 months], unless extended or modified in writing.

FIFTH: OBLIGATIONS

The parties shall act in good faith, provide necessary information, comply with payments and document deliveries, observations and acceptance.

SIXTH: CONFIDENTIALITY AND RECORDS

The parties shall keep confidential non-public information and preserve records related to performance.

SEVENTH: BREACH

Material breach, unjustified delay or defective performance may allow termination, correction or damages as applicable.

EIGHTH: JURISDICTION

Disputes shall be submitted to the competent courts of the Republic of Paraguay, without prejudice to mandatory rules.

ACCEPTANCE AND SIGNATURES

Having read this agreement and as evidence of acceptance, the parties sign two counterparts of the same tenor and for one single effect.
